These Terms of Service are a binding contract between you and Animus Technologies LLC (DBA Sozee AI) ("Sozee AI," "Company," "we," "us," and "our"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in the Privacy Policy, Copyright Dispute Policy, and any other relevant policies.
PLEASE READ THESE TERMS CAREFULLY. They cover important information about Services provided to you and any charges, taxes, and fees we bill you. These Terms include information about future changes to these Terms, automatic renewals, limitations of liability, a class action waiver, and resolution of disputes by arbitration instead of in court. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

1. Use of the Service

The Service and content available on the Service are protected by applicable intellectual property laws. Unless subject to a separate license agreement between you and Company, your right to access and use the Service is subject to these Terms.

The Services are strictly for adults. By accessing or using the Services, you represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) and that you have the legal capacity to enter into and be bound by these Terms. To access certain features of the Service, you may be required to register an account ("Account") and select a password and username ("Sozee Credentials").

You promise to provide accurate, complete, and updated registration information. You may not:
Select a name you don't have the right to use
Impersonate another person
Transfer your account without our prior written permission
Create multiple accounts
Create an account if previously banned from the Service
2.3 Account Security
You are responsible for:
Maintaining the security of your account and password
All activities under your account
Notifying us immediately of any unauthorized use or security breach
Ensuring no one under 18 accesses the Services through your account or device
2.4 Third Party Accounts
You may be able to access the Services through third-party accounts (Google, Discord, etc.). By using such accounts, you permit us to access certain information from those accounts as needed for the Services.
3. Content and User Submissions
3.1 Types of Content
"Content" means all information, data, text, software, music, sound, photographs, graphics, video, messages, and other materials accessible through the Service. This includes:
Your Content: Content you upload, post, or make available through the Service
User Content: Content other users make available
Outputs: Content generated by our AI based on your inputs
3.2 Your Responsibilities
You are solely responsible for Your Content and represent that you have all necessary rights to it. Your Content must not:
Infringe any third party's rights (copyright, trademark, privacy, etc.)
Contain sexually explicit content or pornography
Contain hateful, defamatory, or discriminatory content
Exploit minors or depict violence against children
Depict unlawful acts or extreme violence
Promote fraudulent schemes
Violate any law
3.3 Prohibited Content
You may not upload or generate content that:
Contains nudity, violence, or sexually explicit material
Is harmful, hateful, harassing, or offensive
Includes biometric data without consent
Impersonates others without permission (including deepfakes)
Propagates misinformation or disinformation
Actively promotes harmful stereotypes
4. Ownership and Licenses
4.1 Service Ownership
We (and our licensors) own all rights, title, and interest in the Service itself, including all software, methods, documentation, and Company materials. This does not include Your Content.
4.2 Your Content Ownership
You retain ownership of Your Content. However, you grant us certain licenses as described below.
4.3 License to Your Content
You grant Sozee AI a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, transferable license to use, copy, reproduce, modify, adapt, prepare derivative works from, translate, distribute, publicly perform, and display Your Content for:
Operating and providing the Service
Training and improving our AI models
Marketing and promotional purposes
Any purposes described in these Terms
4.4 User Inputs and Outputs
Inputs: Your prompts, reference images, videos, and instructions to our AI
Outputs: Content generated by our AI based on your Inputs
You retain ownership of your Inputs and Outputs
We may use Inputs and Outputs to train and improve our AI models
Commercial use of Outputs is permitted under your subscription plan
4.5 Feedback
Any suggestions, ideas, or proposals you submit to us ("Feedback") may be used by us without restriction, attribution, or compensation to you.
5. User Conduct and Restrictions
5.1 Prohibited Activities
You shall not (and shall not permit any third party to):
Content Violations:
Create unlawful, threatening, abusive, harassing, defamatory, or offensive content
Infringe any intellectual property or other rights
Create, upload, generate, request, distribute, or attempt to access any content that depicts, sexualizes, exploits, endangers, or otherwise harms a minor, or that could reasonably be interpreted as child sexual abuse material (CSAM). This is a zero-tolerance violation. We report suspected CSAM to the National Center for Missing & Exploited Children (NCMEC) and cooperate fully with law enforcement.
Send spam or unauthorized advertising
Violate any laws or regulations
Technical Violations:
License, sell, rent, or commercially exploit the Service
Reverse engineer, decompile, or modify the Service
Use automated tools to scrape or download data
Interfere with the Service's proper functioning
Introduce viruses or harmful code
Attempt to gain unauthorized access
Use the Service to develop competing products
AI-Specific Violations:
Use Outputs to train competing AI models
Generate content that violates these Terms
Misrepresent AI-generated content as human-created
Use the Service for unauthorized surveillance
5.2 API Limitations
We may limit:
Number of API calls
File sizes
Processing capacity
Any other aspects we deem necessary
6. Monitoring and Enforcement
6.1 Content Monitoring
We may (but are not obligated to) monitor, review, or remove Content at any time. You consent to such monitoring and have no expectation of privacy.
6.2 Our Rights
We reserve the right to:
Remove or refuse any Content for any reason
Take action against Content violating these Terms
Disclose information to third parties claiming rights violations
Cooperate with law enforcement
Terminate or suspend access for violations
6.3 Reporting

8. Pricing and Payment
8.1 Fees
Some Services require payment. We use third-party payment processors (like Stripe and CCBill) to handle billing. By providing payment information, you authorize us to charge your payment method for all fees.

8.3 Refunds
You may request a refund within seven (7) days of initial purchase if no credits have been used. Refunds are subject to a service fee not exceeding 6% where permitted by law.

Credits are prepaid amounts for Service features
Credits expire as specified
Credits have no cash value
Unused credits are forfeited upon cancellation
9. Subscriptions
9.1 Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR ADDITIONAL PERIODS OF THE SAME DURATION AT OUR THEN-CURRENT RATES UNLESS YOU CANCEL.
9.2 Cancellation
You may cancel subscriptions through your Account settings or by contacting support@sozee.ai. Cancellations take effect at the end of the current term with no prorated refunds.
9.3 Changes
Upgrades take effect immediately
Downgrades take effect next renewal period
We may change subscription pricing with notice
10. Privacy
Your use of our Services is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Services and informs users of our data collection practices.
11. Copyright and DMCA
11.1 Copyright Policy
We respect intellectual property rights and will terminate repeat infringers.
If you believe material was removed in error, you may submit a counter-notice with similar requirements.
11.4 Other Complaints and Content Removal
For complaints unrelated to copyright — including reports of non-consensual intimate imagery, deepfakes of you or someone you represent, content that may involve human trafficking, content depicting a person under 18, or any other violation of our Terms — please use the dedicated process at our Complaints & Content Removal Policy or email takedown@sozee.ai.

12. Termination

These Terms continue while you use the Service unless terminated earlier.

We do not warrant:
The Service will meet your requirements
Uninterrupted or error-free operation
Accuracy of Outputs or Content
Freedom from harmful components
Outputs may contain errors, offensive material, or third-party content. You are solely responsible for your use of Outputs.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR:
Indirect, incidental, special, or consequential damages
Lost profits, revenue, or data
Business interruption
Procurement of substitute services
OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF:

16. Arbitration Agreement

16.5 Content Removal Disputes — Neutral Body Resolution
Notwithstanding anything else in this Section 16, disputes regarding the removal, retention, or restriction of content under our Complaints & Content Removal Policy may be submitted for independent resolution by a neutral third party (such as the CCBill complaint resolution process or AAA under its Consumer Arbitration Rules) at the election of either party, in addition to any other rights set forth in that policy.

17.1 Governing Law
These Terms are governed by California law without regard to conflicts of law.
17.2 Entire Agreement
These Terms are the complete agreement between us and supersede all prior agreements.

You cannot assign these Terms. We may assign freely.

If any provision is invalid, the remainder continues in effect.

You must comply with all export laws and are not in an embargoed country.
17.8 Force Majeure
We're not liable for delays beyond our reasonable control.
